Our partner Tiago Severo Gomes was featured in a Cointelegraph article on the recent provision of the São Paulo General Inspectorate of Justice that expressly prohibits any link between real estate registrations (matrículas) and digital tokens (RWA).
The central point is not a ban on tokenization itself, but the reaffirmation of an objective legal limit: real estate registration remains the exclusive domain of real estate registry offices, under the supervision of the São Paulo Court of Justice.
In practice:
they may not produce registry effects, nor be linked to, mirror or be recognized as an extension of the property registration;
- tokens may exist as economic or contractual instruments;
- the legal certainty of the real estate system remains anchored in the traditional registry regime.
- The decision reinforces that the tokenization of real-world assets is not merely a technological debate but above all an institutional and legal one, requiring strict attention to the regulatory limits of the Brazilian system.
We will continue to monitor the impact of this position on RWA structures, platforms and investors operating or intending to operate in this market.
