This decision is the first step in the PH Negócios group's entry into the regulated environment.
Prior authorization and final approval: two stages, one path
The distinction between the two acts often causes confusion in the market.
- Prior authorization is SUSEP's initial ruling on the request. The agency reviews the corporate structure, the controlling shareholder, the business plan and the regulatory requirements, and grants prior authorization for the transaction. Once this approval is granted, the company has a period, as a rule 90 days, to implement the transaction and submit the corresponding administrative filing.
- Final approval is the last stage. SUSEP reviews the acts actually carried out, such as paid-in capital increases, amendments to the bylaws and evidence that the required conditions have been met, and formally authorizes the company to operate.
2P Seguros has now completed the final stage of this path.
Congratulations Paulo Henrique!! May the journey be one of great success.
We advised 2P Seguros S.A. throughout the entire process before SUSEP, with Roberto Panucci and Guilherme Teles leading the work.
